NW DSM By-Laws
1. Name, Purpose, and Goals
1. Name - The official name of this club shall be "Northwest DSM" (hereinafter "the club" or "NW DSM".
2. General Purpose - NW DSM is an unofficial organization formed for the benefit of 1990-1999 Eagle Talon, 1990+ Mitsubishi Eclipse, 1990-1994 Plymouth Laser and 1991-1992 Galant VR-4 (T/E/L/GVR4) owners or enthusiasts and to enhance their enjoyment of owning or driving these cars.
3. Special Club Goals
i. To plan and regulate functions or activities including, but not limited to, technical sessions, social functions, competitive events, and assistance in obtaining parts, service, and discounts for members.
ii. To provide its members with access to knowledge about their cars and also provide a forum for members and other interested parties to exchange T/E/L/GVR4 information.
iii. To promote safe driving habits and enhance the driving skill of its members.
iv. To provide assistance to any motorist in distress when such assistance is both safe and feasible.
v. To HAVE FUN!!!
2. Officers
1. Elected Officers
a) There shall be a Board of Directors (The Board). The Board of the NW DSM shall consist of 5 members:
i. A President. Any member in good standing from any region.
ii. Four Vice-presidents. Each VP shall be a member in good standing from one region of NW DSM. These regions are Washington, Oregon, Idaho, and British Columbia. Each region is to represented.
b) There shall be a Sergeant-at-Arms. Any member in good standing from any region.
2. Duties of Elected Officers
a) The Board
i. All members of The Board shall have general supervision, direction, and authority of the business and affairs of NW DSM. In addition, The Board shall act as liaisons between this club and other organizations when necessary or prudent.
ii. All major decisions regarding the group shall be put to a vote of the members. The Board will decide if a decision is to be considered "major". The Board shall call upon the Sergeant at Arms to assist in this decision, and may also call upon Appointed Officers for the same. A super majority vote may overturn any decision made by The Board.
iii. Officers shall be expected to represent NW DSM by being present at Club functions when at all possible. Appointed Officers may be instated for any club function where an officer can not or will not be present. It is not absolutely necessary for an Officer or Appointed Officer to be present at any meetings, but it is strongly recommended.
b) The Sergeant-at-Arms - to be responsible for moderation of the NW DSM mailing list and for assuring that all members, including Officers and Appointed Officers, adhere to the rules as set forth in these by-laws.
3. Election of Board
a) The Board and Sergeant-at-Arms of NW DSM shall be elected annually beginning on or about April 1, and ending no later than April 10. This voting shall be done electronically. The method of voting (e.g. e-mail, form on a website, etc) shall be determined by the existing Board or their official designee.
b) Nominations and volunteers for the Board and Sergeant-at-Arms positions will be accepted beginning March 15 of each year. All nominations shall be sent to a member of the Board, or an official designee of the Board.
c) Nominees shall be members in good standing at the time of election.
d) Officers shall be elected by members in good standing.
e) Elected positions shall be held for a term of one (1) year.
4. Elected Officer Replacement
a) In the event of any permanent inability of any Board member to fulfill their duties a replacement shall be chosen, with all due haste, by the remaining elected Board members to fill the remainder of the term of office.
b) Any Officer found to be in gross violation of these By-laws or acting against the best interest of NW DSM, may be removed from office by simple majority vote of members.
5. Appointed Officers
a) The Board may appoint such other Officers as the business of NW DSM may require.
b) The Appointed Officers shall hold office for such period, have authority, and perform such duties as required by the Board (i.e. newsletter editor, webmaster, ex-officio, etc.).
c) Appointed Officers may be called upon by The Board to assist in any decisions as The Board deems necessary.
6. Club Management
a) The Board shall conduct and manage the affairs and business of NW DSM in the best interest of the membership.
b) The Board shall propose such rules and regulations as may be necessary or convenient, provided those rules or regulations do not conflict with any known laws, votes of the membership, or these by-laws. Consultation with the Sergeant-at-Arms is recommended.
7. Fees and Compensation – Officers, elected or appointed, shall not receive any salary or fees for their services as officers
3. Meetings of the Club
1. Membership Meetings - Membership meetings may be held whenever and wherever designated by members of the club in good standing. All members are welcome to attend these meeting, as well as family and guests. The Board need not sanction meetings, but a vote to not hold a meeting may be requested by the Board or Sergeant-at-Arms provided it is in the best interests of NW DSM. All votes to disallow meetings shall require super majority to pass.
4. Membership
1. Memberships Fees – there shall not be any membership fees for NW DSM.
2. Types of Membership
a) Single Membership - Any person, age 16 or older, interested in and willing to further the purpose of NW DSM shall be eligible for single membership. Such membership shall include full voting privileges, the right to hold office, and receive all benefits of membership.
b) Honorary Membership - Bestowed by the Board. No voting or office holding privileges. All privileges and revocation are at the discretion of the Board.
3. Member Responsibilities
a) Members shall maintain their vehicles, drivers’ license, vehicle registration, and vehicle insurance, in accordance with all applicable laws of the states/provinces, localities, and countries in which it that vehicle is operated. These requirements shall be based on "good-faith".
b) Members shall provide a functional e-mail address on their member page where they can be reached in a timely manner. Failure to provide this data shall result in the member’s name and information being removed from the NW DSM member pages and/or mailing list. Members that are so removed are welcome to renew their membership at any time using valid, accurate information.
i. The Board shall make a reasonable attempt to contact such members before removal so as to allow the member in question to provide accurate/corrected information.
c) The Club assumes no liability with regard to members’ failure to comply with any laws, rules, or regulations.
d) Guests and family members are encouraged to participate at NW DSM functions or activities.
e) Members are responsible for their guests.
f) Members who make themselves known as being affiliated with NW DSM shall act in a courteous, professional, and legal manner at all times. Any member who fails to abide by this rule may be subject to their membership being immediately, but temporarily, revoked by a member of the Board or the Sergeant-at-Arms until a vote of the membership can be held (see Rule 4 below). Minor traffic infractions are exempt from this rule and shall not be grounds for dismissal from the club.
g) Members who choose to be a part of the NW DSM mailing list shall be subject to the following rules:
i. Anyone voicing their opinion or experiences with another person or vendor in a negative manner shall make every reasonable effort to have BOTH sides represented in ALL cases. All messages of this nature must be cleared by a member of the Board or Sergeant-at-Arms before posting to the list.
Ii. All posters should use plain text (not HTML) if at all possible while posting to save bandwidth, assist in the prevention of unwanted ads sent to the list, and as a courtesy to our low-bandwidth members.
Iii. All members should feel free to post questions regarding their T/E/L/GVR4, any local happenings, or any content they feel would be of interest to the members.
iv. All members should refrain from posting "spam", large attachments, inflammatory remarks, etc.
4. Disciplinary actions - Membership privileges may be moderated, suspended, and/or revoked by the Board under the following guidelines:
a) Moderation – The Board or Sergeant at Arms may put any member on the NW DSM mailing list into a moderated mode if they feel that member is disrupting the mailing list or NW DSM as a whole. The Board or Sergeant at Arms will return the member to an unmoderated mode if or when they feel the member is no longer a disruption, but may do so for a period no longer than one (1) year. Moderation may be made permanent by a vote of the Board.
b) Suspension/Probation – The Board may suspend or put on probation a member for violation of the by-laws or when in the best interests of NW DSM. The terms of the suspension/probation and the member in question shall be announced to the membership via the NW DSM mailing list. The membership may overturn a suspension/probation by a super majority vote.
c) Revocation - Membership privileges may be permanently revoked, by a super majority vote of members, if a member is found to be acting against the best interests of NW DSM or in gross violation of the by-laws. Any member of the Club may make the call for a vote, but approval by the Board must first be acquired.
5. Voting
1. Voting shall be done electronically in all cases. The Board shall determine the method, place, options, and time (if allowable) for votes. For the purposes of NW DSM, simple majority votes shall be 50% or more of those voting. Super majority votes shall be 66% or more of those voting. Members shall be given every opportunity and notification of a vote, but any member who does not vote shall be not be considered in any total counts. Majorities shall be determined by number of votes counted not total number of members.
6. Legalities
1. Personal Liability - Neither the members of NW DSM nor the Board, present, past, or future shall be personally liable for any claims or contracts against NW DSM.
2. Illegal Operations – NW DSM shall not knowingly organize, sponsor, plan, assist, sanction or allow its name to be associated in any manner whatsoever with any illegal functions.
3. Amendment of By-laws - any member may propose Amendments to these by-laws at any time. The vote to adopt or reject the proposed amendment shall be taken at after a discussion period concerning that amendment. The members shall then adopt the amendment if it passes with a super majority vote.
4. Matters Not Stated - All matters not specifically provided for in the by-laws of NW DSM shall be controlled by the Board.
